Nebius (formerly Yandex) has announced a major agreement with Microsoft Corporation to lease graphics processing units (GPUs) for artificial intelligence. The agreement involves the lease of capacity in a data center in the US city of Vineland, New Jersey.
Under the terms of the agreement, Nebius will provide Microsoft with computing power in installments over the course of 2025 and 2026. Depending on the volume of power supplied, the contract value by 2031 could be as high as $17.4 billion. Microsoft also has the right to purchase additional power, which would increase the contract’s value to $19.4 billion.
According to the details of the agreement published on the U.S. Securities and Exchange Commission (SEC) website, if Nebius fails to provide the computing power requested by Microsoft by certain dates, Microsoft will have the right to terminate the agreement.
Furthermore, either Nebius or Microsoft may terminate this agreement if the other party commits serious material breaches and fails to correct them within 60 days.
Another reason for termination of the agreement is liquidation. or the bankruptcy of the other party, which is not resolved within 30 days. However, if bankruptcy is declared under Section 11 of the United States Bankruptcy Code, which provides for the reorganization of the company or the transfer of its assets to a reliable third party, this does not constitute grounds for termination of the contract.
Nebius is a Dutch company originally called Yandex. Historically, the company owned the Russian company Yandex, whose founder, Arkady Volozh, was Yandex’s largest shareholder. In 2011, Yandex held an IPO (initial public offering) on the US Nasdaq stock exchange.
In 2022, Nasdaq suspended trading of its shares. Subsequently, the company decided to leave Russia. The company’s Russian division, PJSC Yandex, was sold in 2024.
Yandex’s main operations were in Russia. After the deal, Yandex was left with only a few artificial intelligence (AI) startups: Nebius AI (AI graphics processing), Toloka AI (generative AI), Andrive (developer of unmanned vehicles), and the TripleTen education platform. Yandex was renamed Nebius, the company’s shares resumed trading on the Nasdaq, and Arkady Volozh returned to lead the company.
Nebius decided to focus on investments in AI infrastructure. In 2024, the company opened graphics processing data centers in Paris and Kansas City, Missouri. Another data center was opened in the United Kingdom in 2025. The company has pledged to invest $1 billion in corresponding infrastructure in Europe. The data centers are built using Nvidia equipment.
